End-user license agreement
The terms under which you may install and use the ZoPanel software: one license per server, the Free plan, updates, restrictions, warranty and liability.

This End-user license agreement ("Agreement") is between you and [COMPANY LEGAL NAME], [ADDRESS] ("we"). It covers the ZoPanel software: the zopanel program, its installer, its updates, the billing modules and any documentation we provide with them (together, the "Software"). By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.
1. License grant
We grant you a non-exclusive, non-transferable license to install and use the Software to manage servers and to provide hosting services, including to your own customers, within the limits of your plan and this Agreement. The Software is licensed, not sold.
2. Plans
Free plan. Without a license key, the Software runs on the Free plan: every hosting feature, for up to 10 websites and 10 databases on one server, with no time limit. Features reserved for paid plans (such as reseller accounts, the provisioning API and billing modules, encrypted remote S3 backups, multiple PHP versions and white-label) are not available on the Free plan.
Paid plans. A paid license key unlocks the limits and features of the plan you bought, as described at the time of purchase.
- Yearly licenses are valid for the period bought. When a yearly license ends and is not renewed, the Software returns to the Free plan's limits. Existing websites, databases and data are not deleted; only creating more than the Free plan allows is blocked until you renew.
- Lifetime licenses do not expire.
3. One license per server
- Each license key may be active on one server at a time. A "server" is one operating-system installation, identified by the server ID the Software derives from it.
- You may move a license to another server from your customer account three times a year. Further moves may be requested through support.
- You may not use one license on several servers, for example by cloning a disk image that contains an activated license.
4. License verification
The Software verifies licenses with digital signatures. Online licenses are refreshed with our license server once a day; if the server cannot reach it, the Software keeps working for 14 days and then falls back to the Free plan's limits until a refresh succeeds. A license found to be copied, cloned or used on a modified copy of the Software may stop refreshing and fall back to the Free plan. What is sent during verification is described in our Privacy policy.
5. Restrictions
Except as expressly allowed by this Agreement or by law that cannot be excluded, you may not:
- reverse engineer, decompile or disassemble the Software, or attempt to derive its source code;
- remove, disable, bypass or tamper with license verification, signature checks or limits, or distribute anything designed to do so;
- copy, sell, rent, lend, sublicense or otherwise redistribute the Software or license keys, except through a partner agreement with us;
- distribute modified versions of the Software;
- remove or alter copyright notices, trademarks or other proprietary notices.
Providing hosting services to your customers on a server running the Software is not redistribution. Reseller accounts and white-label branding included in your plan may be used as intended.
6. Third-party components
The Software installs and configures third-party software (for example nginx, PHP, MariaDB, PostgreSQL, Postfix, Dovecot and Docker) and includes open-source libraries. These components are licensed under their own terms, which prevail over this Agreement for those components. Nothing in this Agreement limits your rights under those licenses.
7. Updates
We may provide updates that fix problems, improve security or add, change or remove features. Updates are delivered through the Software's built-in updater, are signed by us and are covered by this Agreement unless they come with their own terms. Lifetime licenses include every update for as long as ZoPanel exists. You are responsible for installing updates in good time, especially security updates.
8. Your data and your customers
The data on your servers belongs to you and your customers. You are responsible for the content you and your customers host, for complying with the law that applies to your hosting business, for your agreements with your customers, and for keeping backups. The Software does not send your customers' data to us.
9. Support
Support is provided as described on our website for your plan. Lifetime licenses include priority support for the first year.
10. Term and termination
This Agreement lasts while you use the Software. It ends automatically if you materially breach it and do not cure the breach within 14 days of our notice; in that case we may revoke the license keys concerned. When the Agreement ends you must stop using the Software, except that you may keep using the Free plan if the breach did not concern it. Sections 5, 11, 12 and 14 survive termination.
11. Warranty disclaimer
To the extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Software will be uninterrupted or error-free. Capacity and performance figures we publish are measurements under stated conditions, not guarantees. This does not affect any rights you have under the Refund policy or mandatory consumer law.
12. Limitation of liability
To the extent permitted by law:
- we are not liable for any indirect, incidental, special or consequential damages, loss of profits, revenue, business or data, or the cost of substitute services, even if we were told they were possible;
- our total liability under this Agreement is limited to the amount you paid us for the license concerned in the 12 months before the event giving rise to the claim, or, for the Free plan, to zero.
Nothing in this Agreement limits liability for fraud, gross negligence, wilful misconduct, or anything else that cannot be limited by law.
13. Export and sanctions
You may not use or make the Software available in breach of export-control or sanctions laws that apply to you or to us.
14. General
This Agreement, together with our Terms of service, is the whole agreement between us about the Software. If a provision is found unenforceable, the rest remains in force. You may not assign this Agreement without our consent, except together with the sale of the business that uses the Software. This Agreement is governed by [GOVERNING LAW].
